Анотація
У тезах обґрунтовано двоетапну модель правового реагування на істотну зміну обставин за ст. 652 ЦК України, що поєднує досудову адаптацію договору та подальший судовий захист. Розкрито значення принципу свободи договору як стандарту належної поведінки сторін на досудовому етапі та критерію оцінки добросовісності їхніх дій у разі виникнення спору. Акцентовано на необхідності договірного визначення процедури переговорів щодо адаптації договору та її значенні для формування належної доказової основи судового розгляду. Обґрунтовано, що належне проведення переговорів має розглядатися не як формальна передумова звернення до суду, а як самостійний елемент механізму адаптації договору до істотно змінених обставин. Визначено, що такий підхід сприяє збереженню договірних зв’язків, запобігає необґрунтованому перекладенню звичайних комерційних ризиків на контрагента та формує об’єктивні орієнтири для подальшої судової оцінки поведінки сторін.
The abstract substantiates a two-stage model of legal response to a fundamental change of circumstances under Article 652 of the Civil Code of Ukraine, combining pre-trial adaptation of the contract with subsequent judicial protection. The significance of the principle of freedom of contract is examined as a standard of proper conduct of the parties at the pre-trial stage and as a criterion for assessing the good faith of their actions in the event of a dispute. Particular emphasis is placed on the need to establish a contractual procedure for negotiations on contract adaptation and on its significance for creating an appropriate evidentiary basis for judicial proceedings. It is argued that the proper conduct of negotiations should be regarded not as a formal prerequisite for recourse to court, but as an independent element of the mechanism for adapting a contract to fundamentally changed circumstances. It is established that such an approach contributes to preserving contractual relationships, prevents the unjustified shifting of ordinary commercial risks to the counterparty, and provides objective benchmarks for the subsequent judicial assessment of the parties’ conduct.
